1. Acceptance of Terms

By accessing, purchasing, or using any website, product, or service offered by Naya Communications, LLC (“Company,” “we,” “us,” or “our”), you (“you” or “user”) agree to these Terms of Service (“Terms”). If you do not agree, please do not use our website or purchase our products.

2. License and Permitted Use

All materials are protected by copyright and licensed—not sold—to the end user. Your license type is defined at or before purchase.

a. Individual License (Personal Use)

Licensed to one (1) individual for personal or professional development.
Sharing, redistributing, or modifying materials for others is not permitted.
Team or enterprise use requires a separate multi-user or organizational license.

b. Organizational License (Internal Use)

Licensed for internal use within one (1) organization or company.
Content may be adapted or distributed internally for communication, planning, or training.
Materials may not be resold, redistributed, or used in external client work, consulting, or training programs.
Multi-organization use requires a separate license agreement.

3. Prohibited Uses

You may not:

Copy, reproduce, or distribute materials beyond your license scope.
Remove or alter copyright notices or claim authorship.
Resell, sublicense, or otherwise commercialize content in whole or in part.
Create derivative works for resale or competitive commercial use.

4. Intellectual Property

All text, templates, frameworks, designs, and methodologies are the exclusive intellectual property of Naya Communications, LLC, protected under U.S. and international law. Unauthorized use or distribution is strictly prohibited.

5. Digital Products and Refunds

Due to the instant-access nature of digital goods, all sales are final and non-refundable, except where required by law or explicitly stated in writing.

Some offerings may include time-limited service or consulting credits. Unless otherwise noted, such credits are non-transferable, non-refundable, have no cash value, and expire as specified at purchase.

6. Disclaimers

All materials and services are provided for educational and informational purposes only.
We make no guarantees of specific results or outcomes. Implementation and results depend on factors beyond our control and remain the responsibility of the user.

7. Limitation of Liability

To the fullest extent permitted by law, Naya Communications, LLC and its owners, affiliates, and representatives shall not be liable for any indirect, incidental, special, consequential, or exemplary damages—including loss of data, revenue, or profits—arising from or related to your use of our products, services, or website.

8. Payment Processing

Payments are securely processed by third-party vendors (e.g., Stripe, PayPal, Wix Payments).
We do not store complete payment information on our servers.

9. Automated Systems and Digital Tools

Naya Communications, LLC utilizes automated systems and digital platforms to deliver products, assessments, reports, and communications. These include, but are not limited to, online quizzes, concierge forms, diagnostic tools, and automated email or document delivery systems.

By using these tools, you acknowledge and agree that:

Automated recommendations and assessments are for informational purposes only and do not constitute professional advice.
Technical errors, data delays, or transmission issues may occasionally occur, and Naya Communications, LLC is not liable for interruptions in access or delivery.
Any information submitted through automated tools may be stored and processed by third-party services (e.g., Google, Wix, Zapier, MailerLite) solely for the purpose of fulfilling your request or purchase.

Use of these systems constitutes your acceptance of these terms.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

a. Mediation First
Any dispute, claim, or disagreement arising out of or relating to these Terms shall first be addressed through good-faith discussions and mediation.

b. Binding Arbitration
If mediation does not resolve the matter within thirty (30) days, it shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitration shall occur in Pinellas County, Florida. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

c. Class Action Waiver
All disputes must be resolved on an individual basis. You waive the right to participate in any class, consolidated, or representative action.

d. Fees and Costs
Each party shall bear its own arbitration costs and attorney’s fees unless the arbitrator determines otherwise under applicable law.

International Customers: Nothing in this clause limits any consumer-protection rights under the laws of your country of residence.

11. Complimentary Consultations

From time to time, Naya Communications, LLC may offer complimentary or introductory calls (“Consultations”) to discuss goals or product fit.
These Consultations are for informational purposes only and do not constitute formal business, financial, or legal advice.
Participation does not create a client relationship or guarantee service availability, and we reserve the right to decline or reschedule Consultations at our discretion.

12. Modifications

We may update or modify these Terms at any time. The most current version will appear on this page with a revised “Effective Date.”
Continued use of our products or services after any update constitutes acceptance of the revised Terms.
